Terms of Sale

1. Purpose

These Terms of Sale govern the sale of, access to and use of the UpBoard.ai platform, a SaaS service of AI agents connected to the Odoo ERP.

2. Business customers only (B2B)

UpBoard.ai is sold to professionals only, for the purposes of their business activity. By subscribing, the customer confirms acting for business purposes and not as a consumer.

As a result, the right of withdrawal reserved for consumers does not apply to this sale. The free trial described in article 6 lets you evaluate the service on your own data before any payment.

3. Acceptance of Terms

By creating an account on UpBoard.ai, you accept these Terms of Sale in their entirety. If you do not accept these terms, you must not use the service.

4. Service Description

UpBoard.ai provides:

  • Specialized AI agents (Sales, Purchasing, Inventory, Finance, Helpdesk, Point of Sale)
  • Secure connection to ERP systems
  • Analysis and recommendations based on ERP data
  • Automated report generation

5. Registration and Accounts

Registration requires a valid email address and the creation of a password that meets security requirements. You are responsible for the confidentiality of your credentials.

6. Subscriptions and Payments

Subscriptions are billed monthly or annually according to the chosen plan. Payments are processed via Stripe. Prices are shown in euros excluding VAT. Any started month is due in full.

A free trial is offered, with no credit card. It runs for 14 days, or until the trial credit is used up if that happens first: whichever of the two limits comes first ends the trial. It ends automatically and does not turn into a paid subscription: subscribing to a plan remains a deliberate action on your side.

Each plan includes a monthly AI credit. Only the requests you send to the agents consume that credit. Work the platform performs on its own (scans, data quality checks, alerts, digests) is included and consumes no credit. When 100% of the credit is reached, requests to the agents are blocked until the credit renews at the start of the next period, or until an additional credit top-up is purchased. Scans and alerts keep running. No overage is billed automatically.

If a payment fails, access to the agents, the alerts and the dashboard is suspended until the situation is settled. Stripe retries the payment automatically, and access is restored as soon as a payment goes through. Your data and your settings are kept during that suspension. If no attempt succeeds, the subscription is cancelled and access closed, under the conditions of article 12.

Time-limited promotional discounts may be offered. A discount applies for the duration announced at the time of subscription, starting from the first invoice. Once that duration ends, the public rate in force applies automatically, with no further formality.

7. Data and Security

UpBoard.ai accesses ERP data in read-only mode by default. ERP connection credentials are encrypted (Fernet). ERP data is queried in real time: UpBoard.ai does not copy the ERP database and only keeps analysis results and the agents' contextual memory.

8. Liability

Analyses and recommendations are produced by artificial intelligence models. They may be incomplete or inaccurate and must be checked and approved by the user before any use. They are indicative and do not constitute professional advice, in particular accounting, tax or legal advice. The user remains solely responsible for decisions made based on these recommendations.

No write is made in the ERP without the user's explicit approval: any creation, update or deletion proposed by an agent waits for the user's confirmation. The user is responsible for the access rights granted to UpBoard.ai in their ERP and for the actions they approve.

To the extent permitted by law, Organize IT SRL is not liable for indirect damages, such as loss of revenue, profit, customers or data. The total liability of Organize IT SRL in connection with the service, for all causes combined, is limited to the amounts actually paid by the customer for the service during the 12 months preceding the event giving rise to liability. These limitations do not apply in the event of gross negligence or wilful misconduct by Organize IT SRL.

9. Availability

UpBoard.ai uses reasonable efforts to keep the service available, without guaranteeing a specific availability rate. The service may be interrupted for maintenance, because of an incident, or because of third-party services it depends on (hosting provider, AI model providers, connected ERP). Planned maintenance operations are communicated in advance by email.

10. Force Majeure

Neither party is liable for a failure to perform its obligations caused by force majeure, meaning an event beyond its reasonable control that it could neither foresee nor overcome, such as a natural disaster, war, epidemic, decision of the authorities, widespread failure of telecommunication or power networks, or a failure of a hosting or artificial intelligence model provider with the same characteristics. The affected obligations are suspended for the duration of the event. If it lasts more than 30 days, either party may end the subscription in writing, with no compensation owed by either side.

11. Sub-processing and Personal Data

Organize IT SRL relies on sub-processors to provide the service (hosting, artificial intelligence models, payment, email delivery, error tracking, backups). Their list, location and role are set out in the privacy policy, which prevails.

For the personal data the customer processes through the service, in particular data from their ERP, Organize IT SRL acts as a processor within the meaning of Article 28 of the GDPR, on the customer's instructions, and imposes equivalent data protection obligations on its own sub-processors. The current list of sub-processors is kept in the privacy policy; Organize IT SRL informs the customer by email of any significant change to that list, and a customer who objects may cancel their subscription. The Article 28 commitments are set out in the data processing agreement (DPA), published on this site and signed on request at info@upboard.ai.

12. Termination

You may cancel your subscription at any time from your billing area. Cancellation takes effect at the end of the current billing period. Your account data is deleted 90 days after the subscription ends, unless you subscribe again in the meantime, as set out in the privacy policy.

13. Intellectual Property

UpBoard.ai and all its components (code, design, trademarks) remain the exclusive property of Organize IT SRL. ERP data remains the property of the user.

14. Changes to these Terms

Organize IT SRL may change these Terms of Sale, in particular to reflect a change in the service, in its prices or in the applicable regulation. Any change is announced by email at least 30 days before it takes effect.

A customer who does not accept a change may cancel their subscription before that effective date, at no cost and with no compensation owed. After that date, continuing to use the service counts as acceptance of the new version.

15. Applicable Law

These Terms of Sale are governed by Belgian law. Any dispute shall be submitted to the competent courts of Brussels, Belgium.
